Addendum

SERVICE ADDENDUM: CUSTOM AI AUDIO & BRAND SONG CREATION

This Addendum is incorporated into and forms an inseparable part of the Master Terms and Conditions of Olivier Digital Studio (Pty) Ltd. It applies to all clients purchasing one-off custom songs, audio logos, or sonic branding assets generated utilizing artificial intelligence platforms.

    • The Generative AI Framework: Custom song creation is an innovative service where the Company utilizes advanced neural network engines—specifically Suno—to interpret client parameters, text prompts, and lyrics into a complete audio asset.

    ​

    • Labor vs. Computational Output: The Client acknowledges that fees paid to the Company represent expert prompt engineering, lyrical composition, audio arrangement, track selection, and post-production editing. Fees do not represent a guarantee of human-musician performance or traditional instrument tracking.

    ​

    • Platform Infrastructure Risk: Because production relies entirely on the third-party infrastructure of Suno, the Company accepts zero legal or financial liability for platform outages, sudden changes to Suno’s terms of service, processing delays, or backend software modifications that alter the vocal texture or musical arrangement of generated files mid-project.

    • Text-to-Audio Unpredictability: Generative AI audio platforms introduce elements of randomness into every track generation cycle. Consequently, the Company cannot control precise vocal accents, exact rhythmic spacing, inflection, or specific instruments down to individual notes.

    • The Output Cap (Generation Boundaries): To maintain project viability and prevent endless looping, each standard custom song project includes a strict generation pool limit (e.g., up to 3 distinct musical/vocal "Beta variations" drafted by the studio for client review based on the initial onboarding brief).

    ​

    • Aesthetic Revisions: The Client may request reasonable structural tweaks, lyrical text variations, or structural pacing changes during the designated review phase. However, a complete pivot in musical genre (e.g., switching from Modern Rock to Synth-Pop) or a complete rewriting of the core lyric brief after generation has begun will be treated as an explicit "Scope Change" and billed separately.

    • Suno Commercial Licensing: The Company maintains a paid, legally active commercial subscription with Suno. Under the platform’s licensing framework, the commercial rights to generations made during an active subscription belong to the account holder. Upon final project settlement, the Company transfers its contractually derived commercial exploitation rights for the final selected audio file to the Client.

    • The "As-Is" Copyright Disclaimer: The legal landscape surrounding generative AI music, vocal cloning, and public registry copyrighting is complex and continuously evolving globally.

      • The Company provides no warranties or legal guarantees regarding the absolute copyright registrability of the audio track with formal music rights organizations (e.g., SAMRO, SAMPRA, or international registries).​

      • The Client accepts the final audio track entirely "as-is" regarding copyright and intellectual property protections.

    ​

    • Third-Party Infringement Indemnity: Because AI systems are trained on massive public datasets, the Company cannot guarantee that the AI engine will not generate a melody, chord progression, or vocal timbre that mirrors an existing copyrighted commercial track. The Client explicitly indemnifies and holds harmless Olivier Digital Studio (Pty) Ltd, its directors, and its operators against any third-party copyright, trademark, or intellectual property infringement claims arising from similarities found within the completed track.

    • No Human Artist Imitation: The Company will not input prompts or commands into Suno or any auxiliary tools intended to explicitly replicate, clone, or infringe upon the distinct, recognizable voice of any famous living or deceased human artist, celebrity, or public figure.

    • Content Restrictions: The Company reserves the right to immediately terminate a song generation project without a refund if the Client requests lyrics or themes that are defamatory, explicitly hateful, racially offensive, politically subversive, or infringing on the privacy rights of any individual.

    • Final Deliverables: Completed audio assets will be delivered to the Client in standard high-quality digital formats (e.g., WAV or MP3 320kbps). Raw project parameters, individual stems (unless natively supported and extractable by the engine), and prompt histories remain the intellectual property of the Company.

    • Archival Limitations: The Company will store your final completed track inside its digital archive for a standard window of 90 calendar days post-delivery. The Company is not an ongoing cloud storage provider; it remains the Client’s responsibility to download and securely backup their master audio files upon delivery.
